1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Omino Tech ("Omino Tech", "we", "our", or "us"), a verified SSM registered entity operating in Malaysia.
By commissioning any project, ordering a setup package (Identity Setup, Business Suite, Migration Ops), or engaging our services via ominotech.com.my or WhatsApp, you agree to comply with and be bound by these Terms.
2. 100% Code Ownership & "No-Rent" Promise
At Omino Tech, we believe businesses should own their digital assets without being trapped in monthly software rentals or proprietary lock-ins.
Full Source Code Ownership Upon Final Payment
Upon receipt of 100% full payment for your project or setup package, Omino Tech assigns complete, unencumbered ownership of the custom code, React/Next.js repositories, design components, database backups, and account credentials to the Client.
You retain full freedom to host, migrate, or edit your code on any server provider (DigitalOcean, AWS, Vercel, cPanel) without paying monthly platform royalties to Omino Tech. We reserve the right to display completed public builds in our online portfolio (ominotech.com.my/work) unless restricted by an explicit non-disclosure agreement (NDA).
3. Services & Infrastructure Scope
Omino Tech provides specialized digital engineering services categorized as follows:
Web & App Architecture
Custom React, Next.js, and Mobile App builds engineered for sub-second speeds and zero lag.
Domain & Infrastructure
Domain registration (.com / .com.my with SSM documentation), Cloud VPS setup, and DKIM/SPF corporate emails.
E-Commerce & Gateways
Direct-to-consumer store setup and payment gateway connections (ToyyibPay, Stripe, Billplz) verified with live test transactions.
SEO & AI Automation
Technical schema markup for Google Search #1 ranking and WhatsApp AI chatbot agent integrations.
4. Pricing, Payments & Deliverables
- Fixed One-Time Fees: All setup packages and custom build proposals are structured on transparent one-time fees with zero hidden charges.
- Deposit & Launch Balance: Projects commence upon receipt of the agreed initial deposit. Final domain pointing, server deployment, and source code transfer require complete settlement of the outstanding balance.
- Third-Party Recurring Costs: After initial setup, third-party infrastructure fees (e.g. annual domain renewal to MYNIC, cloud VPS hosting fees directly to DigitalOcean/AWS, Google Workspace user licenses) are paid directly by the Client to the respective vendor accounts.
5. Engineering Guarantees & Post-Launch Support
Sub-Second Speed Guarantee
We test and optimize every build to achieve sub-second load times and pass Google Core Web Vitals assessments.
30-Day Post-Launch Technical Support
Every project includes 30 calendar days of complimentary technical support to fix any scope-related bugs or configuration issues.
6. Limitation of Liability
To the maximum extent permitted by Malaysian law, Omino Tech shall not be liable for indirect, incidental, special, or consequential damages, including loss of business revenue, profit, or data, resulting from third-party server downtime (AWS/DigitalOcean outages), DNS delays by MYNIC, or payment gateway API disruptions beyond our control.
In all circumstances, Omino Tech’s total cumulative financial liability under any claim related to a project shall not exceed the total fees actually paid by the Client to Omino Tech for that specific project.
7. Governing Law & Jurisdiction
These Terms shall be governed by, interpreted, and enforced in accordance with the laws of Malaysia. Any disputes, controversies, or claims arising out of or in connection with our services shall be submitted to the exclusive jurisdiction of the Courts of Malaysia (Kuala Lumpur / Selangor).
